THE QUAKER STATE® “Win a trip to SEMA” CONTEST
OFFICIAL RULES OPEN TO ELIGIBLE LEGAL RESIDENTS OF THE 50 UNITED STATES/ DISTRICT OF COLUMBIA WHO ARE AT LEAST 18 YEARS OR OLDER AS OF THE DATE OF ENTRY AND MEET THE ELIGIBILITY REQUIREMENTS STATED BELOW. NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.
1. ELIGIBILITY: “The Quaker State® “Win a trip to SEMA” Contest” (“Contest”) is open only to individuals who are legal residents of, and residing within the fifty (50) United States (including the District of Columbia), are at least eighteen (18) years old at the time of entry (“Contestant(s)”).Employees of SOPUS Products (“Sponsor”) and its parent, affiliates and subsidiaries, participating advertising and promotion agencies, including but not limited to entities involved in the preparation of materials for, administration and/or execution of this Contest (collectively “Contest Entities”) and their immediate family members (spouse, parent, child or sibling) and/or those living in the same household (whether or not related) are ineligible. In addition, members of the Screen Actors Guild – American Federation of Television and Radio Artists (“SAG-AFTRA”) are ineligible.
2. THE CONTEST PERIOD: The “Contest Entry Period” starts 12:01 A.M. (midnight) Central Time (“CT”) on September 6, 2016, and ends at 11:59 P.M. CT on September 21, 2016. After the Judges have selected the “Finalists,” as set forth in Rule 5, the “Grand Prize Winner” will be determined as set forth in Rule 6. “Grand Prize Winner Selection Period” will start on 12:01 A.M. (midnight) Central Time (“CT”) on October 3, 2016, and ends at 11:59 P.M. CT on October 7, 2016
3. HOW TO ENTER THE CONTEST: To enter the Contest, a Contestant must logon to https://www.facebook.com/QuakerState (the “Page”). While on the Page, the Contestant must watch a video of a Quaker State jungle that contains music but no lyrics (the “Jingle”). The Contestant must then post his/her own lyrics for the Jingle on the Page. Each posting must include the words “Contest entry” and must comply with the following requirements:
A. Must be in English or commonly understood foreign words as determined by the Sponsor in its sole discretion;
B. Must not exceed 15 seconds in length;
C. Except for materials that are in the public domain, each posting, in its entirety, must be a single work of original material created solely by the Contestant(s). Entries that include lyrics of any other songs or other copyrighted materials are inappropriate and will be subject to disqualification;
D. Must not have been submitted previously in a promotion of any kind and has not been
exhibited or distributed previously in any media;
E. Must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, including copyright rights, or legal or moral rights of any third party, living or deceased;
F. Must not contain any references, either explicitly or implicitly, mentions, depicts, or otherwise alludes to the name or logo, trademark, or service mark of any third party, individual, company, entity, product, or brand other than Sponsor or a brand belonging to Sponsor;
G. Must not communicate messages inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
H. No watermarks, signatures, or copyright notices may be added to any Entry;
I. Must not disparage Sponsor or any other person, entity or party affiliated with the promotion and administration of this Contest;
J. Must be in good taste as determined by Sponsor in its sole discretion;
K. Must not contain language or contents that in any way disparages or defames or in any way reflects negatively upon the Sponsor, its brands or products or any person or entity as determined by Sponsor in its sole discretion;
L. Must not contain, mention, refer, or otherwise allude to any obscene, lewd, violent, illegal, offensive, hateful, disparaging, or inappropriate words, language, symbols, signs, or abbreviations;
M. Must not contain defamatory or libelous material or material which discloses private or personal matters concerning any persons without such person’s consent;
N. Must not advocate or denigrate any political or societal beliefs or contain, mention, refer or otherwise allude to any political or religious references, statements or symbols;
O. Must not contain content that is abusive or that may be considered offensive to individuals or a group of individuals regarding of race, ethnicity, religion, sexual orientation or gender identity or expression, creed, age, or socioeconomic group or any legally protected classification;
P. Must not contain content that is unlawful, in violation of, or contrary to federal, state, or local laws.
R. Contestant must not submit an Entry that, if selected as Finalist, cannot be assigned to Sponsor as contemplated below.
A posting of lyrics in accordance with these Official Rules will be deemed to be an “Entry”. By submitting an Entry, a Contestant hereby agrees to be bound by these Official Rules. Each Contestant hereby agrees that if his/her Entry is selected as a Finalist, a video will be produced of the Jingle using the lyrics in the selected Entry (the “Video”). The Sponsor may produce the Video in its sole and absolute discretion, including modifying for altering the lyrics from the Finalist Entry. Contestants will have no approval rights whatsoever in the Video.
Limit: A Contestant may submit one (1) Entry per calendar day during the Contest Entry Period.
Each Entry submitted by a Contestant must be substantially different than previous Entries as determined by Sponsor in its sole discretion. Each calendar day begins at 12:01 A. M. CT and ends at 11:59:59 P.M. CT during the Contest Period.
A Contestant must have a Facebook account to enter the Contest. There is no cost to create one at
www.facebook.com. Creation of a Facebook account requires Contestant to agree to Facebook's Statement of Rights and Responsibilities, Data Use Policy, and Community Standards, available at https://www.facebook.com/policies.
Message & Data Rates may apply to each message sent or received using a mobile device.
Other charges may also apply. Contestants should check their mobile plan for rates and other details.
Once a review has been entered into the Contest, it may not be deleted, edited or modified by Contestant.
The Sponsor, at its sole discretion, may add or remove any Entry from the Page at any time for whatever reason. The displaying of an Entry on the Page does not constitute verification of eligibility or compliance with these Official Rules and all Entries and Contestants remain subject to verification of eligibility and compliance with these Official Rules as determined by Sponsor at its sole discretion.
If the Contestant is selected as a Finalist, Contestant will assign his/her Entry, and any rights therein, to Sponsor. Contestant will be required to confirm such assignment by completing and submitting the
Affidavit of Eligibility/Assignment/Liability & Publicity Release as set forth below (and any other documents reasonably required by Sponsor or Administrator) or such Contestant will otherwise be disqualified from receiving a prize. Contestant must maintain the ability to assign all such rights to Sponsor free of any limitations, restrictions or third party obligations. Contestant agrees that Sponsor shall have the sole discretion in determining the extent and manner of use of Entries and are not obligated to use any Entry.
EACH CONTESTANT REPRESENTS, UNDERSTANDS AND ACKNOWLEDGES THAT HE/SHE WILL NOT BE PAID FOR OR RECEIVE ANY FORM OF COMPENSATION OR ROYALTY (OTHER THAN THE PRIZE STATED HEREIN IF SELECTED AS THE FINALIST OR GRAND PRIZE WINNER) IN EXCHANGE FOR GRANTING SPONSOR THE NON-EXCLUSIVE LICENSE RIGHTS SET FORTH ABOVE OR FOR ANY SUBSEQUENT USE OF SUCH ENTRY BY SPONSOR. EACH FINALIST UNDERSTANDS AND AGREES THAT HE/SHE HAS NO OWNERSHIP OR ANY OTHER RIGHTS IN A VIDEO.
Contestants agree that Sponsor has the right, but not the obligation, to use and/or otherwise display the Entries as set forth above, and that if such Entries are, in Sponsor’s sole discretion, displayed on the Contest Website or other social media sites, such Entries may be subject to third party comments that will be publicly viewable, and further, such Entries may also be saved, shared, and/or further emailed by such third parties on the internet or otherwise.
5. SELECTION OF FINALISTS (): At the end of the Contest Entry Period, all eligible Entries received will be judged by a panel of qualified judges comprised of representatives of the Sponsor (“Judges”). The Judges will score each Entry according to the following weighted factors: (i) “Brand Messaging” –
40%; (ii) “Creativity” – 30%; and (iii) “Originality” – 30%. All of these factors determine the Entry’s overall “Judged Score”. The three (3) highest-scoring Entries will be named as a finalist (“Finalist”), subject to eligibility verification and compliance with these Official Rules. In the event of a tie, Judges will select a winner based upon the tied Entry that receives the highest score in the Brand Messaging
category. In the event that there is still a tie after the first tie breaker, then Judges will select a winner based upon the tied Entry that receives the highest score in the Creativity category. In the event that there is still a tie after the second tie breaker, then Judges will select a winner based upon the tied Entry that receives the highest score in the Originality category. If there is still a tie, then the tied Entries will be judged again by a different Judge who was not part of the original group of Judges.
Each potential Finalist will be contacted by Direct Message via Facebook in order to notify him/her that he/she has been selected as a potential Finalist and to verify eligibility and compliance. The potential Finalist must reply as instructed in the notification Direct Message and respond as requested. Each potential Finalist will be required to sign and return an Affidavit of Eligibility/Assignment/Liability & Publicity Release (except where prohibited by law), within a time period specified by Sponsor before being declared a Finalist and receiving the Finalist Prize. A Video will not be recorded until the Affidavit of Eligibility/Assignment/Liability & Publicity Release has been executed by the potential Finalist. Failure to comply with this requirement may result in the potential Finalist in being disqualified.
If any Finalist is found to be ineligible, he/she will be disqualified and the Entry with the next-highest Judged Score will be named a Finalist and will be subject to all eligibility verification requirements set forth in these Official Rules. In no event will there be more than three (3) Finalists.
6. SELECTION OF THE GRAND PRIZE WINNER (1): The three (3) Finalist Videos will be posted on the Page during the Grand Prize Winner Selection Period, October 3, 2016 – October 7, 2016.
The public will be able to comment and like on each Video. The Finalist Video with the most positive comments and likes as determined by Sponsor in its sole discretion will be declared the “Grand Prize Winner.” If there is a tie, then the Finalist Entry with the highest Judges Score in Rule 5 will be the Grand Prize Winner.
Any commenting and/or liking of a Finalist Video generated by a script, computer programs, macro, programmed, robotic or other automated means, or like exchange websites is void. Liking or commenting must be completed by the actual person posting the like or comment. A person may not like or comment on behalf of another person. Likes or comments which subvert the integrity of this process as determined by Sponsor in Sponsor’s sole discretion are void. Payment or other consideration or inducement, including, but not limited to, merchandise, cash, online currency, discounts, share trading or anything deemed to have value in exchange for likes or comments is prohibited. Contestants may not use third party online voting sites to solicit likes or comments. All likes and comments are subject to audit and verification by Sponsor, in its sole and absolute discretion. In addition to the foregoing, Sponsor, in its sole discretion, may disqualify a Contestant if, in its sole discretion, it determines such Contestant is attempting in any way to undermine the legitimate operation of the Contest by engaging in any deception, or any other unfair playing practices, or intending to annoy, abuse, threaten, undermine or harass any other Contestant or person.
7. PRIZES (3 Finalist Prizes, 1 Grand Prize):
A. Finalist Prize: Each Finalist will receive as his/her prize a One Hundred Dollar ($100)
Shell gift card (the “Finalist Prize”). Approximate Retail Value (“ARV”) of each Finalist Prize is One
Hundred Dollars ($100.00) USD. Allow 6-8 weeks after the end of the Contest Period for delivery of a
Finalist Prize. For security reasons, treat your Card like cash. Use of the Card constitutes acceptance of the following terms: The Card can be used, up to balance, only for purchases of goods and services at Shell locations in the U.S., except territories. The Card cannot be redeemed for cash and no change will be given, except where required by law. Not reloadable. Except in certain circumstances, the value of the Card will not be replaced if the Card is lost, stolen, or destroyed. B. Grand Prize: The "Grand Prize" consists of a trip for the confirmed Grand Prize winner
and one adult guest (18+ years of age) to the SEMA Show at the Las Vegas Convention Center located at 3150 Paradise Road, Las Vegas, Nevada from November 1-4, 2016 (the “Event”). Grand
Prize package consists of (i) a round trip, coach air transportation for two from a major commercial airport near the Grand Prize winner's home (chosen at Sponsor's sole discretion) to a major commercial airport near Las Vegas, Nevada, (ii) hotel accommodations for four (4) days/ three (3) nights (standard accommodations, double occupancy), (iii) credentials to the SEMA show for the Grand Prize Winner and guest, and (iv) $500 in spending money fulfilled in the form of a gift card.
Trip must be taken on dates set by Sponsor. The Grand Prize winner and guest must travel on the same itinerary. If Grand Prize winner resides within a 100-mile radius of destination, ground transportation may be provided in lieu of air transportation, and no compensation will be provided for any difference in Grand Prize value. Travel dates are subject to availability; blackout dates and other restrictions may apply. The Grand Prize winner and guest are responsible for having valid travel documents including government issued identification. The Grand Prize winner is responsible for all travel expenses not included herein, including but not limited to airline baggage fees, gratuities, meals, airport fees, parking fees, personal charges at the hotel, and any other incidental costs or expenses related to participation in this Grand Prize. Event and Grand Prize activities are subject to modification and/or cancellation policies and procedures of event organizers. Sponsor reserves the right to add, substitute, change or edit Grand Prize related elements and/or activities in its sole discretion. Lost, stolen, damaged or destroyed tickets will not be replaced. Grand Prize winner and guest are responsible for all travel related documents and to obtain and maintain applicable insurance at their own cost and expense. The Grand Prize Winner and guest must sign and return a travel liability release before travel will be booked. Sponsor is not responsible if any events are delayed, postponed, or canceled for any reason. The Grand Prize Winner agrees that event admission is awarded pursuant to a revocable, nontransferable license that is personal to that applicable winner, and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated or otherwise conveyed. Sponsor reserves the right to remove or to deny entry to Grand Prize winner and/or his/her guest if either the Grand Prize Winner or his/her guest violates the previous restrictions or engages in a disruptive manner, or with intent to abuse, threaten or harass any other person at the event.
No more than one (1) Grand Prize will be awarded. The ARV of the Grand Prize is $2,500.00 USD.
The actual value of the Grand Prize may vary depending on point of departure and fluctuations in the
cost of air transportation. Any difference between the estimated ARV and the actual value of the
Grand Prize will not be awarded.
The Finalist Prizes and the Grand Prize are collectively referred to as the “Prize(s).” ARV of all Prizes
is $2,800.00 USD. A Prize is not redeemable for cash nor is it transferable, assignable or
substitutable, in whole or in part, except by Sponsor, in its sole discretion, with one of equal or greater
value. All federal, state and local taxes, if any, on a Prize are each Finalist’s/Grand Prize Winner’s
responsibility. Any depiction of a Prize or any element thereof in promotional and advertising
materials in connection with the Contest is for illustrative purposes only and may not be an actual
8. LIMITATIONS OF LIABILITY/INTERNET: SPONSOR IS NOT RESPONSIBLE FOR ANY
TYPOGRAPHICAL, PRINTING, HUMAN OR OTHER ERROR INVOLVED OR RELATING TO THE
ADMINISTRATION OF OR ASSOCIATED WITH THE CONTEST, THE SELECTION OF THE
WINNER OR THE ANNOUNCEMENT OF THE PRIZE. IN NO EVENT WILL MORE PRIZES BE
AWARDED THAN ARE STATED IN THESE OFFICIAL RULES. ADDITIONALLY, SPONSOR IS
NOT RESPONSIBLE FOR ERRORS RESULTING IN OMISSION, INTERRUPTION, DELETION,
DEFECT, DELAY IN OPERATIONS OR TRANSMISSION, THEFT OR DESTRUCTION OR
UNAUTHORIZED ACCESS TO OR ALTERATIONS OF CONTEST MATERIALS, OR FOR
TECHNICAL, NETWORK, TELEPHONE EQUIPMENT, ELECTRONIC, COMPUTER, HARDWARE
OR SOFTWARE, TELEPHONE OR OTHER COMMUNICATIONS, INCOMPATIBILITY,
MALFUNCTIONS OR LIMITATIONS OF ANY KIND, OR INACCURATE TRANSMISSIONS OF OR
FAILURE TO RECEIVE INFORMATION BY SPONSOR ON ACCOUNT OF TECHNICAL
PROBLEMS, LOST OR UNAVAILABLE NETWORK CONNECTIONS, TELEPHONE
CONNECTIONS, WIRELESS DEVICE CONNECTIONS OR TRAFFIC CONGESTION ON THE
INTERNET OR AT ANY PAGE, HUMAN ERROR, OR ANY COMBINATION THEREOF. IF FOR
ANY REASON THE CONTEST, OR ANY ELEMENT THEREOF, IS NOT CAPABLE OF RUNNING
AS PLANNED, INCLUDING INFECTION BY COMPUTER VIRUS, BUGS, TAMPERING,
UNAUTHORIZED INTERVENTION, CHEATING, FRAUD, TECHNICAL FAILURES, OR ANY
OTHER CAUSES, TECHNOLOGICAL OR OTHERWISE, WHICH CORRUPT, DISRUPT OR
OTHERWISE AFFECT THE ADMINISTRATION, SECURITY, FAIRNESS, INTEGRITY, OR
PROPER CONDUCT OF THIS CONTEST, SPONSOR RESERVES THE RIGHT IN ITS SOLE
DISCRETION TO CANCEL, TERMINATE, MODIFY OR SUSPEND ANY AND ALL ASPECTS OF
THE CONTEST, AND PROCEED IN A MANNER IT DEEMS FAIR AND REASONABLE AND IN
KEEPING WITH THE INTENT OF THE CONTEST, INCLUDING SELECTION OF A POTENTIAL
WINNER FROM AMONG ALL ELIGIBLE ENTRIES RECEIVED PRIOR TO SUCH
CANCELLATION, TERMINATION, MODIFICATION OR SUSPENSION. SPONSOR FURTHER
RESERVES THE RIGHT TO DISQUALIFY ANY INDIVIDUAL IT SUSPECTS, IN ITS SOLE AND
ABSOLUTE DISCRETION, TO BE TAMPERING WITH THE OPERATION OF THE CONTEST.
CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO UNDERMINE THE LEGITIMATE
OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND,
SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK
DAMAGES FROM AND SEEK PROSECUTION OF ANY SUCH INDIVIDUAL TO THE FULLEST
EXTENT OF THE LAW.
9. INDEMNIFICATION: CONTEST FINALISTS AGREE, BY ACCEPTING THE PRIZE TO
RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS SPONSOR, AND ITS PARENT
COMPANY, SUBSIDIARIES, AFFILIATES, DISTRIBUTORS, RETAILERS, WEB DEVELOPMENT
COMPANIES, ADVERTISING AND PROMOTIONAL AGENCIES, (AND THEIR PARENTS,
SUBSIDIARIES AND AFFILIATES), PROMOTION AGENCIES, FACEBOOK, AND ANY OTHER
PERSONS OR ENTITIES PARTICIPATING IN THE DESIGN, ADMINISTRATION OR FULFILLMENT
OF THIS CONTEST AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND
AGENTS (COLLECTIVELY “RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL
LIABILITY FOR ANY THREATENED OR ACTUAL INJURIES, LOSS, COSTS, SETTLEMENTS
(WHETHER OR NOT LITIGATION IS COMMENCED), OR DAMAGES OF ANY KIND TO ANY
PERSON, INCLUDING DEATH OR DISABILITY, AND PROPERTY, ARISING IN WHOLE OR IN
PART, DIRECTLY OR INDIRECTLY, FROM PARTICIPATION IN THIS CONTEST OR
ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE, PARTICIPATION IN ANY
CONTEST - RELATED ACTIVITY WHETHER HOSTED BY SPONSOR OR A THIRD PARTY OR
INABILITY TO PARTICIPATE IN PARTS THEREOF INCLUDING, WITHOUT LIMITATION, CLAIMS,
SUITS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH,
DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY,
DEFAMATION OR PORTRAYAL IN A FALSE LIGHT (WHETHER INTENTIONAL OR
UNINTENTIONAL), WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING
NEGLIGENCE), WARRANTY OR OTHER THEORY, AND WHETHER OR NOT CAUSED IN
WHOLE OR IN PART BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES.
INDIVIDUALS COVENANT NOT TO SUE ANY RELEASED PARTY OR CAUSE THEM TO BE
SUED REGARDING ANY MATTER RELEASED ABOVE; AND FURTHER COVENANT NOT TO
DISAFFIRM, LIMIT OR RESCIND THIS RELEASE. A WAIVER BY SPONSOR OF ANY TERM IN
THESE OFFICIAL RULES DOES NOT CONSTITUTE A WAIVER OF ANY OTHER PROVISION.
10. GOVERNING LAW; DISPUTES: Any and all disputes, claims and causes of action arising out of
or connected with this Contest or the Prize award shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court in Houston, Texas, USA; and
in addition to the limitations in Section 5 of these Official Rules, any and all claims, judgments and
awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees. Except
where prohibited by law, all issues concerning the construction, validity and enforcement of these
Official Rules, or the rights and obligations of the Contestant and Sponsor, shall be construed and
governed by the laws of the State of Texas, USA, without regard to conflicts of law Official Rules.
11. GENERAL: By participating in the Contest, each Contestant agrees to these Official Rules and
the decisions of Sponsor, which are final and binding in all matters and all respects relating to this
Contest. Contestants waive any right to claim ambiguity in these Official Rules. In the event of a
dispute as to the identity of a Winner based on his/her Facebook account, the winning entry will be
declared made by the authorized account holder of the e-mail address submitted at time of entry.
"Authorized account holder" is defined as the natural person who the registered holder of a Facebook
account. Potential winner may be required to show proof of being the authorized account holder. This
Contest is void outside of the 50 United States/District of Columbia and wherever else prohibited or
restricted by law. All entries and/or materials submitted become the property of Sponsor and will not

with Sponsor. By entering the Contest, each Contestant agrees to Sponsor’s use of Contestant’s
